Kaabhi Vendor Agreement

1. Purpose and Scope
This Vendor Agreement (“Agreement”) governs the binding legal relationship between Kaabhi (“Platform”, “Marketplace”, “we”, “our”) and any independent seller or business entity (“Vendor”, “Seller”, “you”) offering goods through the Kaabhi marketplace platform hosted at https://kaabhi.com.
By registering as a Seller, submitting vendor account applications, creating product listings, or otherwise accessing the Marketplace seller portal, you agree to be fully bound by the terms and conditions set forth herein.
This Agreement operates in conjunction with, and incorporates by reference, Kaabhi’s Terms and Conditions of Use, the Seller Handbook, the Copyright and Intellectual Property Policy, the Privacy Policy, the Cookie Policy, the Return and Refund Policy, and the Shipping Policy. In the event of a direct conflict between general site terms and this Agreement regarding vendor operations, this Agreement shall prevail.
2. Vendor Eligibility & Account Creation
To qualify for a Vendor account on Kaabhi, you represent and warrant that you:
- Possess full legal capacity to enter into binding commercial contracts under applicable law;
- Provide complete, accurate, and current business registration and personal identification information;
- Comply strictly with all local, national, and international trade regulations;
- Maintain an active, verified payout account fully integrated with Stripe Connect or other approved payment providers;
- Hold all necessary legal rights, ownership, or authorized distribution licenses for all products listed for sale.
Kaabhi reserves the absolute right to approve, restrict, suspend, or terminate Seller account applications at its sole discretion without prior liability.
3. Independent Contractor Relationship
Vendors operate solely as independent businesses and commercial partners. Kaabhi acts exclusively as an e-commerce marketplace provider facilitating technology, display, and escrow intermediation services.
Nothing in this Agreement shall be construed to create:
- An employment or master-servant relationship;
- A partnership or joint venture;
- A legal agency or power-of-attorney relationship;
- A commercial franchise arrangement.
Vendors retain sole operational and financial responsibility for their business operations, inventory, product liability, customer interactions, and tax obligations.
4. Account Verification & Compliance Audits
Kaabhi reserves the right to request identity verification and business compliance documentation at any time during the active lifetime of a Seller account.
The Seller agrees to provide, upon request within five (5) business days:
- Government-issued photo identification of account owners or directors;
- Valid business registration, incorporation certificates, or trade licenses;
- Tax identification numbers (e.g., GSTIN, PAN, VAT, or EIN);
- Official proof of physical business address and utility statements;
- Verified banking details matching the merchant account name;
- Documentation certifying product authenticity or licensing rights.
Failure to supply requested compliance records may result in immediate payout freezes, listing removal, or account suspension.
5. Listing Standards & Photography Compliance
The Seller assumes full responsibility for all product listings, images, and copy published on the Platform.
Listings must strictly adhere to the following standards:
- Provide truthful, unambiguous, and accurate product details;
- Utilize original product photographs accurately reflecting the physical item offered;
- Explicitly detail sizing, dimensions, color variations, and fabric compositions;
- Disclose whether an item is ready-to-ship or custom-tailored / made-to-order;
- Avoid using unauthorized celebrity photographs, third-party brand logos, or scraped stock imagery.
Further specifications regarding image quality, background neutrality, and listing guidelines are set out in the Seller Handbook and the Copyright Policy.
6. Handcrafted & Artisan Products Disclosures
Where products are handcrafted, hand-loom woven, hand-printed, or hand-embellished, Sellers must explicitly disclose that minor artisan variations may occur, including:
- Slight shade or dye lot variations;
- Natural weave irregularities in organic fabrics;
- Minor variations in hand-embroidery or sequin placement;
- Standard sizing tolerances inherent to artisan production.
7. Prohibited Merchandise
Sellers are strictly prohibited from offering, listing, or selling:
- Counterfeit, knock-off, or replica designer apparel and goods;
- Items infringing third-party trademarks, copyrights, or registered industrial designs;
- Stolen, illegal, or unauthorized merchandise;
- Hazardous, dangerous, or legally restricted items under international shipping regulations;
- Goods prohibited by Stripe, banking institutions, or international trade sanctions.
Kaabhi maintains zero tolerance for prohibited items and will remove non-compliant listings immediately upon detection.
8. Intellectual Property & Brand Protection
The Seller warrants that all content, imagery, trademarks, and merchandise uploaded to Kaabhi do not violate any third-party intellectual property rights.
In accordance with Kaabhi’s Copyright and Intellectual Property Policy, Kaabhi operates a notice-and-takedown system. If a rights holder submits a valid infringement notice regarding a Seller listing, Kaabhi will remove the listing and notify the Seller. Repeat infringements will lead to account termination and payout forfeiture.
9. Inventory Accuracy & Order Acceptance
Sellers agree to maintain real-time inventory counts in their seller dashboard. Products displayed as “In Stock” must be available for immediate dispatch within stated handling times.
High rates of order cancellation due to stockouts hurt buyer confidence and may result in reduced store visibility or account suspension.
10. Order Processing & Dispatch Commitments
The Seller is solely responsible for fulfilling orders placed on the Platform, including:
- Processing and dispatching ready-to-ship items within 1–3 business days;
- Fulfilling custom or made-to-order garments within the processing timeframe declared on the listing;
- Packaging goods securely to withstand international long-distance freight;
- Uploading valid, scannable international tracking numbers (Air Waybill / AWB) immediately upon dispatch.
11. Logistics & International Shipping Intermediaion
Kaabhi serves as an intermediation marketplace and is not a direct party to the freight contract formed between Seller and buyer. Shipping rates, delivery timelines, and carrier selections are determined directly by the Seller in accordance with Kaabhi’s Shipping Policy.
For all international shipments, the Seller agrees to:
- Comply with all export documentation and customs declaration rules;
- Accurately declare commercial invoice values and Harmonized System (HS) codes;
- Ensure packages are routed via established international carriers (e.g., DHL, FedEx, Aramex, India Post Speed Post);
- Retain official proof of postage and delivery receipts.
12. Disputes, Returns & Escrow Hold Period
Kaabhi provides a structured customer dashboard and escrow mechanism to govern return requests and order claims in accordance with our Return and Refund Policy.
The Seller acknowledges and agrees that:
- Buyers have 14 calendar days following verified package delivery to inspect items and initiate order claims;
- Custom-tailored, altered, or made-to-order items are non-refundable for change-of-mind reasons, but remain covered for proven manufacturing defects or damage incurred during transit;
- Sellers must respond directly and constructively to buyer messages within 24–48 hours;
- Kaabhi reserves the right to review order histories, messaging logs, and shipping documentation, and render final binding decisions on fund releases or buyer refunds during escrow disputes.
13. Payment Processing & 14-Day Payout Escrow
Payments on Kaabhi are processed through Stripe Connect or other accredited payment gateways.
14-Day Escrow Mechanism: To safeguard international buyers and maintain transaction trust, payments collected for completed orders are held in escrow by Kaabhi for 14 calendar days starting from the date the order status is marked as delivered/completed in the seller dashboard. This period provides buyers sufficient time to inspect merchandise and log claims.
If no dispute or return claim is initiated by the buyer within the 14-day window, the net order funds (minus platform commissions and fees) are automatically cleared and released for payout to the Seller’s registered account.
Prematurely or falsely marking an unfulfilled order as “Completed” prior to actual delivery constitutes a major breach of this Agreement. Violations will result in immediate fund freezing, account auditing, and potential permanent termination.
14. Marketplace Commissions & Fee Structure
The Seller agrees to pay Kaabhi the applicable platform commissions and processing fees for all sales generated through the Marketplace.
Commission Rate: As of the Last Updated date of this Agreement, Kaabhi’s standard marketplace commission is 19% of the total completed transaction value (including item price and applicable seller-calculated shipping fees). The Seller receives and retains 81% of the net transaction value.
Kaabhi reserves the right to adjust commission structures or introduce optional promotion fees upon providing reasonable written notice to Sellers via dashboard notices or email.
15. Chargebacks & Financial Liability
In the event of a payment processor chargeback or credit card dispute filed directly by a buyer with their issuing bank, the Seller agrees to cooperate fully with Kaabhi by providing order logs, proof of dispatch, size charts, and messaging history.
If a chargeback is decided against the Seller due to product non-delivery, significant misrepresentation, defective merchandise, or unauthorized seller behavior, Kaabhi reserves the right to deduct the chargeback amount and associated processor dispute fees directly from the Seller’s pending escrow balance or future payouts.
16. Fraud Monitoring & Off-Platform Offenses
Kaabhi maintains automated and manual fraud detection protocols. Sellers agree not to engage in fraudulent or dishonest marketplace conduct, including but not limited to:
- Artificial review generation, self-purchasing, or rating manipulation;
- Directing buyers to complete payments outside the Kaabhi platform to circumvent commission fees;
- Sharing off-platform payment links, external bank details, or contact numbers in listings or dashboard messages;
- Submitting fraudulent tracking numbers or shipping documents.
Off-platform fee circumvention will result in immediate and permanent account closure and forfeiture of pending balances.
17. Tax Compliance & Duties
The Seller bears sole responsibility for determining, collecting, reporting, and remitting all applicable local, national, or international taxes, including income taxes, GST, sales taxes, or VAT arising from their sales on Kaabhi.
Kaabhi does not provide tax advisory services. Sellers must consult their own accounting professionals to ensure international trade tax compliance.
18. Customer Service Quality Commitments
Sellers agree to maintain courteous, prompt, and professional communication with buyers. Inquiries received through the Kaabhi dashboard must be answered within 24 to 48 hours.
Persistent customer complaints regarding rude behavior, unresponsive messaging, or unfulfilled promises will lead to seller status downgrades or account reviews.
19. Seller Content License
By uploading product images, descriptions, brand logos, or media to Kaabhi, the Seller grants Kaabhi a non-exclusive, worldwide, royalty-free license to host, display, index, reformat, and promote such content across Kaabhi’s marketplace, social media channels, marketing campaigns, and search engine results.
The Seller retains full underlying copyright ownership of their original content.
20. Suspension & Account Termination
Kaabhi reserves the right to suspend, limit, or permanently terminate Seller accounts at any time with or without prior notice in order to protect buyers, secure platform integrity, or fulfill legal obligations.
Grounds for immediate termination include:
- Breach of this Agreement, the Seller Handbook, or Intellectual Property Policy;
- Listing counterfeit, replica, or unauthorized branded products;
- Attempting off-platform payment processing;
- High order cancellation or buyer dispute rates;
- Providing false verification documents or fraudulent business information.
21. Indemnification
The Seller agrees to defend, indemnify, and hold harmless Kaabhi, its directors, officers, employees, agents, and affiliates from and against any third-party claims, liabilities, losses, damages, or legal fees resulting from:
- Product defects, injuries, or non-conformity of Seller merchandise;
- Intellectual property or trademark infringement claims arising from Seller listings;
- Seller tax non-compliance or regulatory violations;
- Breach of any representation or warranty contained in this Agreement.
22. Limitation of Liability
To the maximum extent permitted by applicable law, Kaabhi shall not be liable to any Seller for lost profits, indirect, consequential, special, or punitive damages arising out of marketplace participation or technical downtime.
In all events, Kaabhi’s total cumulative financial liability to a Seller shall not exceed the total commission fees actually collected by Kaabhi from that Seller during the six (6) month period preceding the event giving rise to the claim.
23. Governing Law & Dispute Resolution
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict of law principles.
The parties agree to attempt in good faith to resolve any commercial dispute through direct negotiation prior to initiating formal arbitration or legal proceedings.
